Position Descriptions at IMDSA
All Board of Directors must be paid members of IMDSA in order to hold a position on its board.
President: The president shall:
Serve as Chief Executive Officer.
Be responsible for the management of the organization.
Conduct all general meetings of the organization.
Conduct all Board of Directors meetings and other special meetings as called by him or the Board of Directors.
Designate committees and recommend appointment of committee chairpersons as required.
Oversee operations of the board.
Speak to media and community on behalf of the organization.
Prepare agenda for each member and board meeting.
See that all books, reports, and certificates are properly kept.
Be authorized to sign checks for the organization.
National Vice President: The National Vice President shall:
In the absence of the President, or if the President is unable or refuses to act, or at the discretion and request of the President, perform the duties of the President.
Serve as President for the remainder of the President's term of the office, if the Presidency becomes vacant.
Assist the president in all National affairs.
Be authorized to sign checks for the organization.
International Vice President: The International Vice President shall:
In the absence of the President and National Vice President, or if the President and National Vice President is unable or refuses to act, or at the discretion and request of the President, perform the duties of the President.
Serve as President for the remainder of the President's term of office, if the Presidency becomes vacant and the National Vice President is unable or refuses to act as President.
Manage the activities of the Special Interest Groups.
Assist the president in all International Affairs.
Secretary: The Secretary shall:
Take minutes of all business meetings and Board of Director meetings.
Prepare a draft of the minutes and distribute copies to all officers. Ensure that draft minutes are approved or approved as amended by majority vote at the next meeting of the Board of Directors.
Prepare all correspondence approved by the Board of Directors.
Maintain files, including minutes, incoming and outgoing correspondence, etc.
Keep and maintain the ARTICLES OF INCORPORATION and the Corporate Seal, the Bylaws, and all important documents.
Prepare notices and ballots for the election of officers.
Notify the President and/or the appropriate officer of forthcoming events that may require action.
Attend all board meetings.
Submit to the Board of Directors any communications concerning the records kept on the organization.
Be authorized to sign checks for the organization.
Treasurer: The Treasurer shall: (Postion Vacant)
Deposit and maintain records of all monies received by the IMDSA and have general responsibility for overseeing all financial affairs.
Maintain a checking account in the name of the IMDSA and, when approved by the Board of Directors, open an interest bearing account.
Maintain a sufficient balance in the checking account to pay current bills.
Ensure that the bank has on file authorization for checks to be signed by at least two of the Board of Directors who are authorized to sign checks. Each check requires two signatures and must be in accordance with provision 5 of this section of by laws.
Maintain complete records and present a financial statement at each Board of Directors Meeting, and at the business meeting when requested.
Submit in January an annual budget and make at least semiannual comparisons of actual expenditures with budgeted amounts.
In January, submit to the Board of Directors a complete, final cumulated summary of the financial results of the previous year.
Assist in any audit, as appropriate.
Prepare and file all required Federal, State and Local tax returns.
Ensure that insurance is in force to protect IMDSA against liability claims and theft of equipment.
IMDSA Directors at Large to be Appointed
The Board of Directors will appoint Directors at Large for the 2010-2011 term as soon as they are elected. Membership Officer: The Membership officer shall:
Maintain Membership Database
Mail Information packets to new members in a timely manner
Send appropriate messages to new and renewing members
Send reminders to members when membership dues are up for expiration
Mail informational materials per request
Seek out new, up dated, information to include in information packets
Welcome new members in support group
Distribute information to potential new members
Provide list of birthdays quarterly for newsletter
Research Officer: The Research Officer shall: (Position Vacant)
Seek out and obtain relationships with researchers
Recruit new research pertaining to MDS
Connect researchers with potential participants
Provide new research information for website, email lists, and newsletter
Head research scholarship fund
Fundraising Officer: The Fundraising Officer shall: (Position Vacant)
Seek out appropriate fundraising events for organization
Head all fundraising events
Advertise and encourage others on fundraising event
Work appropriately with Fundraising Assistant
Newsletter Editor: The Newsletter Editor shall: (Position Vacant)
Approach appropriate contributors
Assemble all newsletter articles
Proofread and edit all articles
Ensure Newsletter is available the first of each February, May, August, and November
Distribute newsletter to appropriate recipients
Publicity Officer: The Publicity Officer shall: (Position Vacant)
Seek out and contact all areas concerning publicity for organization
Write appropriate language for media contacts concerning publicity
Speak to media when deemed appropriate
Publicize special events
Legislative Officer: The Legislative Officer shall: (Position Vacant)
Seek out and obtain information concerning issues important to our members
Write appropriate responses and letters to governing officials pertaining to issues important to our members
Obtain relationship with governing officials and follow up with them often pertaining to issues at hand
Be knowledgeable in current affairs in government and issues pertaining to our members
Write organization’s positions on specific issues
Write ‘Call to Action’ letters and articles when deemed appropriate
Be available to speak to media, members and potential members, and governing officials when necessary
Additional Officers
Family Connect Coordinator: The Family Connect Coordinator shall:
Maintain Family Connect database
Send appropriate emails to Family Connect members and new Members interested in contacting others
Connect families according to geographical location, age of child, and medical conditions in a timely manner
Be main contact for new families wishing for support and information
Fundraising Assistant: The Fundraising Assistant shall:
Assist Fundraising Officer in all areas of Fundraising
Family Connect Representatives: The Family Connect Representative shall:
Be main contact for country/state/area

Advisory Board:
Must be professional in the medical, scientific, therapeutic or academic communities
Be available to answer questions pertaining to mosaic Down syndrome
Advise IMDSA officers of potential information and research regarding mDs
Provide information for IMDSA’s quarterly newsletter in form of article or updates
Provide information through workshop during IMDSA’s biennial conference *if at all possible
